JDWebDesigns is a trading name operated as a sole trader in Scotland.
These Invoice Terms & Conditions should be read in conjunction with the Service Agreement/Client Contract which outlines the full project scope and deliverables.
1.1 Website builds are available with two payment options. The care plan can be cancelled anytime with 30 days written notice — when cancelled, website hosting will end and the site will go offline unless the client arranges their own hosting:
1.2 Payment must be made within 7 days of invoice date unless otherwise agreed in writing. For Direct Debit payments, the first payment will be collected on the agreed start date (typically when the website goes live).
1.3 Accepted payment methods:
Payment links will be provided in your Zoho Books invoice.
1.4 All prices are quoted in British Pounds (GBP). JDWebDesigns is not currently VAT registered, therefore no VAT will be added to invoices. Should VAT registration occur during a project, you will be notified and VAT will be added to any unpaid invoices in accordance with UK tax law.
2.1 If payment is not received within 7 days of the invoice date, JDWebDesigns reserves the right to:
2.2 Ownership and access to the website will not be transferred until full payment is received.
3.1 The deposit covers the agreed project scope as outlined in the project quote/agreement.
3.2 Reasonable revisions during development are included within the quoted price.
3.3 Major changes to project scope after work has commenced may incur additional charges, which will be agreed upon before proceeding.
3.4 Client is responsible for providing all content (text, images, logos) in a timely manner AND completing the project questionnaire in full before the build phase begins. The project timeline depends on having ALL content ready upfront. Delays in content provision or incomplete questionnaires will extend the project timeline.
3.5 If the client fails to respond to communications for 30 consecutive days, the project will be considered abandoned. No refund will be due, and JDWebDesigns may close the project and retain all payments received.
4.1 Upon full payment, the client owns the website and all custom code developed specifically for their project. Custom code includes HTML, CSS, JavaScript, and design elements created specifically for your project. Pre-existing code templates, frameworks, and third-party libraries remain subject to their original licenses.
4.2 Third-party components, plugins, frameworks, and stock images remain subject to their original licenses.
4.3 JDWebDesigns retains the right to display the completed website in my portfolio and marketing materials (screenshots, case studies, testimonials) unless otherwise agreed in writing before project commencement.
5.1 Domain registration is included and managed by JDWebDesigns on behalf of the client as part of the Monthly Care Plan. The domain is registered on JDWebDesigns' Namecheap account but can be transferred to the client's own registrar account at any time at no extra cost. Hosting is provided by JDWebDesigns at no extra cost (included with the Monthly Care Plan), or alternatively the client may opt to arrange their own hosting (e.g., Bluehost, SiteGround). The hosting preference should be confirmed in the project questionnaire.
5.2 Where the client opts for their own hosting, JDWebDesigns will assist with all technical setup and DNS configuration at no additional charge.
5.3 JDWebDesigns is not responsible for hosting downtime, domain expiration, or hosting provider issues regardless of which hosting option is chosen.
6.1 The £30/month care plan service (£45/month for e-commerce) is available to all website clients on a flexible month-to-month basis.
6.2 The care plan includes hosting, monthly analytics reports, up to 5 content updates per month, email support, domain management, SEO monitoring, bug fixes, and security updates.
6.3 For e-commerce websites, the care plan is £45/month and includes additional product management, order support, and payment gateway monitoring.
6.4 The care plan can be cancelled anytime with 30 days written notice. No cancellation fees apply. When you cancel, your website hosting ends and your site will go offline unless you arrange alternative hosting.
7.1 For business clients: If you cancel before work commences, any upfront payments will be refunded within 14 working days, minus any non-refundable third-party costs (e.g., domain registration).
7.2 For business clients: If you cancel after work has commenced, any upfront payments are non-refundable. Completed work will be delivered, and you will retain ownership of your website files. If the domain was registered as part of your package, it will be transferred to your own registrar account at no additional cost.
7.3 For care plan clients: The care plan can be cancelled anytime with 30 days written notice to jason@jdwebdesigns.com. No cancellation fees apply. Your website hosting is included in the care plan — when you cancel, your site will be taken offline unless you arrange your own hosting.
7.4 For consumer clients (individuals purchasing for personal use, not business): You have a 14-day cooling-off period from the date of contract under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If you request work to begin immediately within this period, you must provide express consent in writing and acknowledge that you will lose your right to cancel once the service is fully performed. If cancelled before completion, you will be charged proportionately for work completed.
7.5 If JDWebDesigns cannot complete the project for any reason, a full refund of all payments will be provided, and any completed work will be transferred to you.
8.1 JDWebDesigns will begin the build phase promptly once the client has provided ALL required content, materials, and information as outlined in the project questionnaire. An estimated timeline will be agreed upon at project kickoff.
8.2 The project timeline is conditional upon:
8.3 This two-phase delivery model works as follows: Phase 1 - Client content preparation (operates on your timeline), Phase 2 - Website build and launch (begins once Phase 1 is complete and all content is received).
8.4 Delays caused by late content provision, incomplete questionnaires, client feedback delays, or external factors beyond JDWebDesigns' control will extend the project timeline.
8.5 Estimated timelines are provided in good faith and final delivery may vary based on project complexity and client responsiveness.
9.1 In accordance with the Supply of Goods and Services Act 1982, JDWebDesigns will provide services with reasonable skill and care.
9.2 JDWebDesigns warrants that the website will function as specified and be free from defects in workmanship for 60 days after launch. The 60-day warranty period begins on the date the website goes live (launch date) or upon final file delivery, whichever is earlier. This warranty covers bugs and technical issues present at time of delivery.
Note: The warranty period (60 days for bug fixes) is separate from the free support period outlined in Section 6.1, which covers general assistance and guidance (1-2 months depending on package tier). Both periods may run concurrently.

9.5 Total liability is limited to the total amount paid for the project. This limitation does not apply to death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under UK law.
9.6 Nothing in these terms excludes or limits liability for matters which cannot be excluded or limited under the Unfair Contract Terms Act 1977 or the Consumer Rights Act 2015.
10.1 The client warrants that all content, images, and materials provided do not infringe on any third-party intellectual property rights.
10.2 The client indemnifies JDWebDesigns against any claims arising from content provided by the client.
11.1 JDWebDesigns will keep all client information confidential and will not share sensitive business information with third parties without consent.
11.2 Personal data will be processed in accordance with UK GDPR and the Data Protection Act 2018. Client data will only be used for project delivery and communication purposes. For full details, please refer to the Privacy Policy.
11.3 Clients have the right to request access to, correction of, or deletion of their personal data at any time by contacting jason@jdwebdesigns.com.
11.4 Any complaints regarding data processing can be made to the Information Commissioner's Office (ICO) at ico.org.uk.
12.1 Any disputes will first be attempted to be resolved through good-faith negotiation.
12.2 For consumer clients: If I cannot resolve a dispute, you may refer the matter to an Alternative Dispute Resolution (ADR) provider. I am not obliged to participate in ADR but will consider it on a case-by-case basis.
12.3 These terms and any disputes arising from them are governed by Scots law, and any legal proceedings will be subject to the exclusive jurisdiction of the Scottish courts.
13.1 JDWebDesigns will not be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to: acts of God, pandemic, government restrictions, power failures, internet outages, or other unforeseeable events.
14.1 These terms constitute the entire agreement between JDWebDesigns and the client regarding the invoice and project.
14.2 JDWebDesigns reserves the right to update these terms. Clients will be notified of any material changes.
14.3 If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full effect.
