JDWebDesigns is a trading name operated as a sole trader in Scotland.

The agreed project scope, pricing, and deliverables are based on the written communication (email, message, or quote) exchanged between JDWebDesigns and the client prior to work commencing. That communication forms the basis of our working agreement alongside these Terms & Conditions.


1. PAYMENT TERMS

1.1 Website packages are priced by page count. Current standard packages (quoted in writing before work starts):

  • Starter: 4 pages — £300 setup
  • Business: 5–6 pages — £450 setup
  • Premium: 7–8 pages — £600 setup

Optional extras (for example Instagram feed, photo gallery, booking system, quote forms, Analytics, reviews, menus, blog) can be added to any package and are quoted separately. The Admin Panel add-on is £75. Larger sites or custom work are quoted on request.

1.2 Website builds are available with two payment options. The Monthly Care Plan is month-to-month and what most clients take. It can be cancelled anytime with 30 days written notice. When cancelled, website hosting ends and the site goes offline unless the client arranges their own hosting:

  • Option 1: Pay the setup fee (and any agreed extras) upfront via Stripe card payment, then £35/month (or £50/month for e-commerce) via GoCardless Direct Debit for the Care Plan
  • Option 2 (Most Popular): Spread the build cost over 12 months via GoCardless Direct Debit (standard websites: Starter £66/month, Business £79/month, Premium £93/month; e-commerce pricing is quoted per project). That spread includes Care Plan hosting, domain renewals and support during the 12 months, then continues month-to-month at £35/month (or £50/month for e-commerce)

1.3 Payment must be made within 7 days of invoice date unless otherwise agreed in writing. For Direct Debit payments, the first payment will be collected on the agreed start date (typically when the website goes live).

1.4 Accepted payment methods:

  • Stripe Payment Gateway: Secure card payments for one-time setup fees (full payment or 50% deposit + 50% on completion)
  • GoCardless Direct Debit: Automated monthly payments for payment plans and care plan subscriptions
  • Klarna: Pay in 3 interest-free installments (available for one-time setup fees). JDWebDesigns receives full payment upfront; the client's installment plan is with Klarna.

Payment links will be provided in your Zoho Books invoice.

1.5 All prices are quoted in British Pounds (GBP). JDWebDesigns is not currently VAT registered, therefore no VAT will be added to invoices. Should VAT registration occur during a project, you will be notified and VAT will be added to any unpaid invoices in accordance with UK tax law.


2. LATE PAYMENT

2.1 If payment is not received within 7 days of the invoice date, JDWebDesigns reserves the right to:

  • Suspend work on the project
  • Withhold delivery of completed files
  • For business clients only: charge interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 at the statutory rate (Bank of England base rate plus 8%), and statutory compensation for debt recovery costs (£40 / £70 / £100 depending on the debt amount). The current statutory rate will be specified on the invoice.
  • For consumer clients: charge reasonable interest and recovery costs only as permitted by Scots law and the Consumer Rights Act 2015
  • Take the website offline until payment is received (for balance payments)

2.2 Ownership and access to the website will not be transferred until full payment is received.


3. PROJECT SCOPE AND REVISIONS

3.1 The deposit covers the agreed project scope as outlined in the project quote/agreement.

3.2 Reasonable revisions during development are included within the quoted price.

3.3 Major changes to project scope after work has commenced may incur additional charges, which will be agreed upon before proceeding.

3.4 In most cases, JDWebDesigns sources website content (text and images) from the client’s existing business Facebook page, with the client’s agreement. Where content is not available there, the client provides what is needed in a timely manner, along with project requirements and specifications. Delays in access to Facebook content, missing materials, or incomplete requirements may extend the project timeline.

3.5 If the client fails to respond to communications for 30 consecutive days, the project will be considered abandoned. No refund will be due, and JDWebDesigns may close the project and retain all payments received.


4. WEBSITE OWNERSHIP AND LICENSING

4.1 Upon full payment, the client owns the website and all custom code developed specifically for their project. Custom code includes HTML, CSS, JavaScript, and design elements created specifically for your project. Pre-existing code templates, frameworks, and third-party libraries remain subject to their original licenses.

4.2 Third-party components, plugins, frameworks, and stock images remain subject to their original licenses.

4.3 JDWebDesigns retains the right to display the completed website in my portfolio and marketing materials (screenshots, case studies, testimonials) unless otherwise agreed in writing before project commencement.


5. HOSTING AND DOMAIN

5.1 First domain registration is included with the website build and managed by JDWebDesigns on behalf of the client. The domain is registered on JDWebDesigns' Namecheap account but can be transferred to the client's own registrar account at any time at no extra cost. Hosting and ongoing domain renewals are provided by JDWebDesigns as part of the Monthly Care Plan. If the client does not take the Care Plan, or later cancels it, they must arrange their own hosting (e.g., Bluehost, SiteGround) for the site to stay live, and the domain will be transferred to them. The hosting preference should be confirmed during initial project discussions.

5.2 Where the client opts for their own hosting, JDWebDesigns will assist with all technical setup and DNS configuration at no additional charge.

5.3 While on Care Plan, JDWebDesigns manages hosting and domain renewals. JDWebDesigns is not responsible for hosting downtime or domain issues caused by third-party providers where the client hosts or renews the domain themselves.


6. SUPPORT & CARE PLAN

6.1 The £35/month care plan service (£50/month for e-commerce) is available to all website clients on a flexible month-to-month basis. There is no 12-month minimum on the Care Plan itself.

6.2 The care plan includes hosting, domain renewals, monthly analytics reports, up to 5 content updates per month, email support, domain management, SEO monitoring, bug fixes, and security updates.

6.3 For e-commerce websites, the care plan is £50/month and includes additional product management, order support, and payment gateway monitoring. E-commerce builds are quoted per project.

6.4 The care plan can be cancelled anytime with 30 days written notice. No cancellation fees apply. When you cancel, your website hosting ends and your site will go offline unless you arrange alternative hosting. The domain will be transferred to your own registrar account at no extra cost.


7. CANCELLATION AND REFUNDS

7.1 For business clients: If you cancel before work commences, any upfront payments will be refunded within 14 working days, minus any non-refundable third-party costs (e.g., domain registration).

7.2 For business clients: If you cancel after work has commenced, any upfront payments are non-refundable. Completed work will be delivered, and you will retain ownership of your website files. If the domain was registered as part of your package, it will be transferred to your own registrar account at no additional cost.

7.3 For care plan clients: The care plan can be cancelled anytime with 30 days written notice to jason@jdwebdesigns.com. No cancellation fees apply. Your website hosting and domain renewals are included in the care plan — when you cancel, your site will be taken offline unless you arrange your own hosting, and the domain will be transferred to you.

7.4 For consumer clients (individuals purchasing for personal use, not business): You have a 14-day cooling-off period from the date of contract under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. If you request work to begin immediately within this period, you must provide express consent in writing and acknowledge that you will lose your right to cancel once the service is fully performed. If cancelled before completion, you will be charged proportionately for work completed.

7.5 If JDWebDesigns cannot complete the project for any reason, a full refund of all payments will be provided, and any completed work will be transferred to you.


8. TIMELINES AND DELAYS

8.1 JDWebDesigns will begin the build phase promptly once sufficient content is available (typically from the client’s business Facebook page) and project specifications are confirmed. An estimated timeline will be agreed upon at project kickoff.

8.2 The project timeline is conditional upon:

  • Access to the client’s business Facebook page (or equivalent content) for sourcing text and images, or content supplied by the client where Facebook content is not available
  • All project requirements and specifications confirmed
  • Hosting confirmed (either added to JDWebDesigns plan or client's own account set up and access provided)
  • Timely client feedback during review phases

8.3 In practice, content is usually sourced from the client’s Facebook page by agreement. Where extra materials are needed, the client supplies them. Build and launch follow once that is in place.

8.4 Delays caused by lack of Facebook access, missing materials, incomplete project requirements, client feedback delays, or external factors beyond JDWebDesigns' control will extend the project timeline.

8.5 Estimated timelines are provided in good faith and final delivery may vary based on project complexity and client responsiveness.


9. WARRANTY, QUALITY, AND LIABILITY

9.1 JDWebDesigns will provide services with reasonable skill and care. For consumer clients this is in accordance with the Consumer Rights Act 2015. For business clients this is also in accordance with the Supply of Goods and Services Act 1982 (as applicable).

9.2 JDWebDesigns warrants that the website will function as specified and be free from defects in workmanship for 60 days after launch. The 60-day warranty period begins on the date the website goes live (launch date) or upon final file delivery, whichever is earlier. This warranty covers bugs and technical issues present at time of delivery.

Note: The 60-day warranty for bugs and technical issues is separate from the Monthly Care Plan in Section 6. Care Plan clients receive ongoing hosting, domain renewals, updates, and support under that agreement. Both may run at the same time where Care Plan is active.

9.3 This warranty does not cover:

  • Issues arising from client modifications after delivery
  • Problems caused by third-party plugins or services
  • Hosting or server-related issues
  • Browser updates or compatibility changes after delivery

9.4 JDWebDesigns is not liable for:

  • Loss of business, profits, or data
  • Hosting or server issues beyond my control
  • Third-party plugin or service failures
  • Issues arising from client modifications to the website after delivery

9.5 Total liability is limited to the total amount paid for the project. This limitation does not apply to death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under UK law.

9.6 Nothing in these terms excludes or limits liability for matters which cannot be excluded or limited under the Unfair Contract Terms Act 1977 or the Consumer Rights Act 2015.


10. INTELLECTUAL PROPERTY

10.1 The client warrants that they own or have the right to use all content, images, and materials used on the website, including content sourced from their business Facebook page or other channels they supply or approve. The client warrants that such materials do not infringe on any third-party intellectual property rights.

10.2 The client indemnifies JDWebDesigns against any claims arising from content sourced from the client’s Facebook page, or otherwise provided or approved by the client.


11. CONFIDENTIALITY AND DATA PROTECTION

11.1 JDWebDesigns will keep all client information confidential and will not share sensitive business information with third parties without consent.

11.2 Personal data will be processed in accordance with UK GDPR and the Data Protection Act 2018. Client data will only be used for project delivery and communication purposes. For full details, please refer to the Privacy Policy.

11.3 Clients have the right to request access to, correction of, or deletion of their personal data at any time by contacting jason@jdwebdesigns.com.

11.4 Any complaints regarding data processing can be made to the Information Commissioner's Office (ICO) at ico.org.uk.


12. DISPUTE RESOLUTION

12.1 Any disputes will first be attempted to be resolved through good-faith negotiation.

12.2 For consumer clients: If I cannot resolve a dispute, you may refer the matter to an Alternative Dispute Resolution (ADR) provider. I am not obliged to participate in ADR but will consider it on a case-by-case basis.

12.3 These terms and any disputes arising from them are governed by Scots law.

12.4 For business clients: any legal proceedings will be subject to the exclusive jurisdiction of the Scottish courts.

12.5 For consumer clients: you may bring proceedings in the Scottish courts or in the courts of the part of the United Kingdom where you live. Nothing in these terms affects your statutory rights under the Consumer Rights Act 2015 or the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.


13. FORCE MAJEURE

13.1 JDWebDesigns will not be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to: acts of God, pandemic, government restrictions, power failures, internet outages, or other unforeseeable events.


14. GENERAL

14.1 These terms constitute the entire agreement between JDWebDesigns and the client regarding the invoice and project.

14.2 JDWebDesigns reserves the right to update these terms. Clients will be notified of any material changes.

14.3 If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full effect.


By making payment against this invoice, the client acknowledges that they have read, understood, and agree to these terms and conditions.
